If the deal is worth doing consider it, but I would strongly suggest putting the EM with your attorney and not the sellers attorney. 10% is a lot, as others have said and asking for it prior to agreeing on a price would make me concerned.

The LLC's or a web of them depending on the complexity of your holdings are primarily used to silo your assets and limit an inside attack to the specific property and away from your personal assets. n addition, it could limit an outside attack from getting to your LLC.
