From the reviews it looks like it is going to need flooring, ext/int paint, cabinets, upgraded entry doors, maybe windows.ARV will be ~1,000,000.

I find it sets the tone and expectations up front.   

My reason is that there are potential tax consequences to distributing real estate (or any other property) out of an S-corporation, and there can be good business reasons to need to take the real estate out of the business. 

There are ways around it, like doing a simultaneous close, but you're going to need to put in an offer with proof of funds.
