By structuring the deal that way, there is alignment of interests between the sponsor and the passive investors.The "sponsor" of the deal you're looking at is being greedy so, yes - it does not make sense.

Cody I was a back room vendor ( lent money to the students to buy properties)  at Armando Montalongo events back in the day and Nick Vertucci if they get aligned with the right fullment company these guys will make 5 to 10 million a year ( got to pay tax of course) However it does not last both of them are off doing something else.. as much as anything the FTC and State AG's have really started to hone in on the Seminar training business..
