As for taxes, there is no practical difference in tax burden whether you own this personally or in an LLC taxed as a partnership (other than the added LLC taxes from the state) because it is a pass-through entity and the taxes follow on to your personal return.

You should also have been and continually shopping local smaller banks and CU's working with their commercial lender on something that works, if you have some cash saved, a decent job/income, and a good credit score, you should be able to get fix and flip loans fairly easily from a small bank.

Another thing I'll add is that if you look at their tax returns, I'll bet you will see that she isn't paying taxes on a lot of her retirement income.
