I don't think the new owner is under any obligation to refund anything unless its specifically documented ahead of the close.

This is specifically regulated in California and I'm guessing you will need an attorney or two, when it goes south.

For example, in FL you must have a land trust or you're paying a lot of money in for an LLC, but in Ohio land trusts don't offer asset protection and an LLC isn't taxed as heavily.
