Where we would provide the building/land/ initial work and they would bring their expertise in development of the building and contract negotiations.  

Respect their expertise and be open to their suggestions.

Landing material and a payment is also reasonable make sure it is signed off as such when paid.Make sure they are in their field of expertise.
