In any case, if you are selling passive interests (where profits are not derived from the investor's own efforts) you are selling securities and will need to comply with securities laws, so be sure to seek advice from a syndication attorney prior to offering interests to investors.

The obvious pitfalls here is that some people wouldn't put in equal time and effort yet expect an equal piece of the pie, causing much conflict.We were also thinking of running the projects ourselves yet adding passive investors to the deals which would keep infighting and head butting to a minimum.

Some companies have attempted to "clad" new-growth wood in an effort to claim the moniker of "low maintenance", but all it takes is one little leak in the cladding and the rotting of the wood core quickly ensues while the cladding hides the process until it's too late to repair.That's just my two cents in the FWIW department.
