I guess I should look at this from a dollars and sense standpoint and pull the trigger because it makes money, but I want to have nice clean apartments and not catch a bad rep right off as a "slumlord. " Lol.

Unfortunately the HOA didn't consider it prudent to take care of the small things before they became really big problems.I think of HOA's like partnerships with complete strangers.  

He wants to invest like I do, but will only provide funds, so should we approach this like joint venture or partnership, or is there a better way.  

Any suggestions on how to trigger a response?

It's like getting in bed, or a partnership, with a bunch of people you have never met, and may not agree with down the road.All this said, I still believe in crunching the numbers above all else.
