Now your exchange acct has 150K  of cash in it so you can finish your exchange and totally defer all tax.Now, outside the exchange you have the note for 100K for which you paid 100K so there is no profit in that note and no tax due except on the interest as it comes in to you.It takes some cash to to this but can be an incredible way to keep the integrity of your 1031 exchange and generate minimally taxed cash flow outside your exchange.

I was reading my local online newspaper in my home city this morning and came across something.

It turned out to be arson - revenge on a tenant (go figure) - but when the fire department was examining the integrity of building once the fire was extinguished, they found a body in the attic.  

Doing so, I've uninvited fans of chaos and am inviting those with high integrity who are committed to being hope to the hopeless, financially free, contagious carriers of happy.

However, when I searched online for "Operating Agreement," "Operating Agreement for Real Estate," etc., all I came up with were Operating Agreements detailing the structures of LLCs, and other agreements involving the trucking industry........not relevant stuff.  

I think I am looking for confidence that laminate flooring will agree with the structural integrity of older Charleston homes. 

@Blake BroomerWelcome fellow Pennsylvanian.It also depends on what activity that you are doing, flipping, buy and hold, rehabs, wholesale, commercial, development, etc.There are tax implications, as well as liability issues, and anonymity also.The PA Dept of State has an online file that you can check to see if the proposed name is in use.In most cases I'd recommend that the entity name not contain either you first or sur names.In any event, the best advise would be to contact a PA attorney to help decide the type of entity, your planned work and possible other parties involved.
