In most states, if the seller has listed the property with an agent, they likely have signed an exclusive right to sell contract.

I read that the Gates decision says that if I tear down the old house to build the first two then I lose the capital gains exclusion.My question is: Is there a way to structure an arms-length partnership to buy the house and two lots - allowing the exclusion - but then also allowing me to gain some of the upside of the new home sales?

In a Short Sale the Mortgage servicer wont pay to fix any repairs or damage but you can get them to lower there value and in result get them to accept a lower offer and net.It sounds like there is a lot of needed repairs and damage that could lower the servicers value if you obtain the right supporting documents.
