You don't have to operate with Officers, you can be a Sole LLC or LLP (Limited Liability Partnership).Taxation is defaulted as pass-thru, but you can opt to be taxed as a Corp. level (until you take profits than you'll be double taxed for income as well)State fee's in Texas are much lower than a Corp.I'm assuming you nor your partner are US citizens, so the LLC allows more flexibility rather than a S Corp. for foreign investors.One of my favorites, is you can gift the LLC to others...not so, with a Corp (Estate Planning in a Corp. is voided or difficult).An LLC in US/Texas should cost less than $1500.00 to setup correctly.

@Amy Gullotta1) You may have a Gift Tax filing requirement for providing your fiance funds to purchase the property2) Depending on who should have the title depends on several factors such as your goals, plans with the property and the amount of income each of you have.If you earn more income than your fiance and your goal is to treat the property as a rental - you may benefit because the losses from your rental property as it would provide a better tax benefit to you than it would to your fiance.However, if you dont earn any income - you may not benefit from it because the rental losses doesn't have anything to decrease.It should be noted that if your fiance transfers the title back to you - there may be another potential gift tax filing.

I would not give a grant deed if the grant deed also warrants title.I would suggest that your client's attorney send the other company a letter thanking them for the gift of the property in question.
