I've heard it can be tiresome and the IRS may not always recognize the properties being exchanged as "equal", therefore, not allowing it.:)

Hopefully, the dollar amount of your offer reflects the actual rents the seller receives since you recognize it is below market; if rents were above market, that would be another matter.

Most here advocate 70% as a rule-of-thumb, though I recognize this is almost impossible to do in southern California.
