As long the total of the two replacements equals or exceeds your sales price (minus the boot I'll address in a sec) you'll avoid all tax.The "boot" is what makes this a partial exchange.

That means it would take you 11 years of perfect tenants and no added costs for the CF to equal that $55k.If you add in the out of pocket costs you mentioned you need to replace the kitchen, bath and roof, it will take an additional 2 years to recover those costs.Now if you used the $55k as a 20% DP on another rental, that doesn't need rehab (or that can be buried in the mortgage to buy), you would jump right away into a property worth $275k.
