Bottom line in my opinion is that the splits need to be fair to both parties to create win-win situations.Regarding the refi and investors exiting, everything was disclosed in the agreements like the PPM that upon refi the investors exit the deal so in this case all the investors knew getting in what the end result would be.

I already have several purchases on my own but this would be a deal where the investor will bring the money (silent investor) and I will find the property, oversee repairs, management and in return, I will have part ownership.Is there a place where I can find Partnership agreement or structure docs that I can learn from?

This property couldn't stay more than 50% full for retail at 15 sq ft.I told them I couldn't help them and office might be better for it given the poor locations and other negative factors.The REIT manager agreed with me but said they are bound to rent at a certain per sq ft due to shareholder agreements and operating guidelines.I asked if they would sell to me for less and he wished he could but all under one loan and they didn't want to bifurcate to sell off.They asked me if I wanted to try and lease it up and I politely declined.

Then you have to hire a lawyer and show your proof that you had an agreement and proof of payment.No owner is going to add you to the deed unless you have satisfied an agreeable amount of funds to transfer or add ownership.
