I don't know the exact paperwork requirements in your state, but go online and get the Articles of Organization form - http://www.sos.mo.gov/business/corporations/forms.aspCall and confirm what are the required filing fees and if any other paperwork is needed for filing (e.g., cover letter, etc.)

This may or may not be the right move depending on what the actual market value is, but that will be the suggestion (At best, many dumb dumbs will just tell the seller to reject it and stay the course no matter how bad the price is) and will sound pretty good to them.BTW when you talk to them before doing to much else with the deal confirm that there is no lien on it.
