I'd recommend reading the 'Wholesaling' thread thoroughly, as well as searching for blog articles on that topic.

What you really need to create are the partnership documents or articles of incorporation so when you are all standing in the kitchen screaming at each other you have a document to explain how you will dissolve the partnership.
