I believe if you had it appraised and were to dispute the appraisers value then they would have to consider your appraisal.

They are just connecting us with the seller and we handle the negotiations, value dispute with the bank etc and if we close they collect the commission.

Also, the state of formation is likely where internal disputes would be brought among LLC members, so if you and a partner and/or spouse live in CA, you probably want to arbitrate in CA if the two of you had a disagreement.

Even if the owner was on the hook for a commission it would either complicate the deal and the owner would look to you to "help" with the resolution now that you are "committed" to the deal or the PM might just drag you into court with the owner to get everyone "on board".
