I'm a foreigner investor  so the developer  suggest that i will open LLC  and will give a loan to his LLC  ( which will hold the asset) and i will get a mortgage note , and for the capital gain allocation i will have another clause in the operating agreement.What do think isn't it too risky , any better idea?

You will never get an argument from me on the difference between respect of authority in Japan compared to our current situation in the United States.I have no problem with the current investment atmosphere but if we continue to suffer many of the same foreign problems and increase those problems with reduction of tax write off or exceedingly high values of homes, I don't see it getting fixed.Rich

As lower income folks leave, due to housing costs, higher income folks enter the state (retirement folks, CEOs, wealthy foreigners etc.) hence the cost of housing is increasing.
