As @Chris Seveney pointed out, the OA might contain some buyout / cross purchase agreement concerning the deceased member's interest if the partners planned accordingly (nobody wants to suddenly become business partners with a surviving spouse or heirs).

Having survived into my 80s, and having been a member of many different organizations and party to a number of contracts, I know that "bypassing the chain of command" is a universal issue.
