My space is 12,000 sq Ft which is divided up 6000 for co working which has 14 private offices, 4 conference rooms plus 1400 sq ft as a common area for 80 members at $130 per month, The back 6,000 feet is a corporate meeting space plus event center, we can do weddings and corporate events up to 200 people, PM me would love to talk about the warehouse space.. 

For sure I remember the past 80s and 90s busts ( cold war ending loss of 10000s defense jobs) and there was way more buildable land 30 years ago, still mostly way outside LA proper back then in Simi, Conejo, Santa Clarita or Antelope Valleys.

This guy though uses the legal systems like a high paid defense attorney.

To your defense, I see a home inspection just giving the buyer more information to work with, and I saw that as a benefit. 

This desperation is very understandable:Wholesalers feel like they are doing something wrong (they say they will buy their house without ANY intention of buying said house) and that guilt shows clearly (often in the form of taking a defensive stance).I know you won't want to hear this and I am also admitting I am assuming some things here.

However, no solicitation or advertising is allowed, the sponsor must have a pre existing relationship with the investor, the offering is subject to attack by the SEC, the offering may not be exempt from state registration, and without a properly drawn PPM the sponsor loses his statutory defense in a civil lawsuit.If you have two lifelong friends that want to passively invest with you in a real estate deal, then you are probably okay relying on the general exemption for private offerings.

I won't be surprised if that's the defense if Clayton ever gets his day in court.LOL - Someone should write a book on how to not get scammed.
