Our lease agreement clearly states that funds paid by the tenant will be applied to outstanding non-compliance fees FIRST, and then whatever is left will be applied to unpaid rent.So, for example, let's say rent is $1000 (due on the 25th) and our late fee is $10/day until paid.

Since your place is going vacant, I'd just tell them it isn't working out for you, once the place goes vacant you would like to settle up all outstanding payments and go in separate directions.

For example; if you are over/under on a property and your LLC goes 'bankrupt' the bank will still come after you personally for any outstanding debts associated with the LLC (because you have to sign as a guarantor on the mortgages that are in the LLC name).An LLC is only there for liability claims... banks will still get their money from you even if the property and note are in the LLCs name.
