Within a given timeframe specified in the contract you can exercise your contingencies in order to be let out of the contract .

I would assume that the working agreement is necessary to determine a clear line in regards to responsibilities and decision making, along with ensuring that the roles played by each partner in the venture is perceived as fair and equal by all parties.
