BUT, important point is that if you are looking to give membership interest and the other members have voting rights, as opposed to just a passive investment, so, obligations to review plans, or anything that makes them more involved than just collecting the check (even really really minor involvement), then you should be outside of the securities regulations.

Even if you go to the local NMLS site to look them up, there's no way you would know they are fraudulent if he is up to date with his membership dues etc.Its sad how intricate these folks with dubious intents are in plotting their game..Thanks for the counsel.

If you have different investors involved in the various projects who each have membership interest, this would require separate LLC's and in some instances if different lenders are involved they may not want other lenders collateralizing assets titled to the same LLC.
