If I can add a point to Oren's treatise above:If your U.S.A. entity (C-corp) is a 100% child subsidiary of a Canadian corporation, there is favourable tax treatment of dividends repatriated from the child entity.

Hopefully I will have come to a confident decision on the type of alternate funding to pursue.
