@John R ablesIn addition to approaches @George Blower and @Dmitriy Fomichenko suggested you can convert to a Roth now or in phases over several years and pay the taxes as you go and distribute it from the Roth with no taxes when you are ready-thus capturing some appreciation tax free. 

George has provided a very summary answer on that front.Or, are you asking whether the plan itself needs to form a LLC for purposes of investing?
