That sounds as if it could very well qualify as a partnership agreement, it corresponds directly to the terms of the actual deal as executed so it should have adequate substance (I will assume this), and was drafted upfront so there has been no after the fact attempt to alter the terms of the original deal with the benefit of hindsight.
