If you are investing with a partner, that’s one of the only valid reasons that i’ve seen my fellow Californians setup an LLC for investing as LPs in syndications.

Also, if LPs are involved, the actual IRR result will be misleading because it’d require LPs to RE-invest cash flow distributions at a similar return, and they almost never do haha (another reason I’m not crazy about IRR metric).

The only thing is the owners are always LLCs, LPs, PO Box, etc..

The Blackstone funds are interesting in that they (minimally) file a Reg D, don't disclose revenue, are LPs, and are exempt from further filings.
