And within a reasonable timeframe where the seller avoids foreclosure when the buyer doesn't pay the sellers note, or at least received adequate compensation for the damage to their credit and costs to defend themselves?

As you said, if you can show that it was sold at fair market value, then you should be able to defend yourself in an audit (should there be one, and probably if you are declaring a huge loss).

So with the slip and fall case, the LLC could defend the homeowner by pointing to the lease and mgmt agreement where it says the mgmt company is responsible for all maintenance and upkeep including shoveling and salting sidewalks.
