So, if come closing it was not vacant, the parties could negotiate something such as a price reduction for taking on the headache of eviction or the buyer could terminate the agreement for nonperformance and get the EMD back.

We have the tenant initial the landlord copy when they sign their lease, to prove they got a copy.Regarding Early Termination by tenant, landlords cannot collect double rent and must make a good faith effort to find a suitable replacement tenant.

You're also limiting your buyer pool when it will only make money if the buyer gets creative.If you do go under contract, I would make sure you have some very broad "get out of jail free" clauses that you could terminate the contract.
