@Brie Schmidt - I'm so glad your experience ended with a positive resolution, and yes background checks can be very useful tools when it comes to due diligence in any financial arrangement.

They'll simply have to sign a corporate resolution before close (signed by all members) stating that they approve of this particular transaction and all agree to give "____" signing authority on behalf of the entity.Pretty basic stuff.

I didn't mention the last thread to indicate you shouldn't have posted, just to let you know you're not alone in this situation.If there is no resolution to this and you're going to wind up with an empty lot, is there any value in that?

It will beat you down if you're not passionate or at least resolute about it.

You need to understand how to use it on a daily basis: proper resolutions, annual meetings, banking accounts and accounting practice.

Really, it's just a big hassle and there are multiple managing members that are going to complain about having to do this, when it was never required before in any state we do business in.We have a Corporate Resolution that names me as an authorized signer for the purchase of real estate.

I filed a resolution for $200.

While discouraged by the news coming out of the New York area, I do see positive signs in our state that we may see some resolution within a couple more weeks.

I can confirm from a partial Investor standpoint and having done business with him that the agreement is well written, clean and the payout process and the default resolution options are very fair.
