Personally, I would say, each person forms their own corp, then if there is a deal, the deal forms one corp as well, that way, the property is being controlled by the corp that has several corps as members. in case of disability of individual or even death, if persons are the shareholder of a corp, then you will have to deal with heirs, and etc.

The question here is not whether you would be liable for the loan (of course you are...you agreed to be to get the loan), but if there is a liability on the property (...like slip and fall) and insurance does not cover it, can you (as an individual shareholder) be sued?

Not sure about your state laws, but in CA a GC license is issued to an individual not a company, the company will get issued a license number once they have a licensed individual as an employee or shareholder (20% minimum).
