Whenever I rep a tenant where this comes up, granted I traditionally work in retail spaces so your asset class might differ, we stipulate that the tenant will handle repairs and maint. of the HVAC units, and in the case of replacement the tenant will only be responsible for the prorated, pro-rata share of that expense for the term of the lease.

In the Alabama Uniform Landlord and Tenant Act, the lease break stipulations are that the renter is required to continue payment until the property is re-rented, and the landlord is required to put in a good faith effort to re-rent the property quickly.

Just for reference for anyone reading this, I spoke with an attorney and this is what we came up with; I have a notarized copy of the quit claim deed in hand before close of escrow and I will be submitting it after close of escrow (this meets the non assignable stipulation) I also have a contract stating our intentions with the wholesaler (between us).
