As a former syndicator and 1982 National President of the Real Estate Securities & Syndication Institute I have personally witnessed to many horror stories of well meaning folks trying to raise money from investors without good legal advice.Be sure to contact a good securities attorney in your state to inquire about small capital raising exemptions which are not too difficult to comply with.I recently got a private letter ruling from my state allowing me to bring in one limited investor without having to file anything with the state.

If I had not witnessed first hand the fall out and damage done by this model I would not be so vociferous about it.We had a company in the 80s in CA .. called CA wrap  LOL.. and that's when the AITD just came out.. lots of experience at this.. for the well cashed up buyer who is a true professional in the industry it works... but as a general Scheme for those starting out or under capitalized its a very risky move.So for a seller to do this its very risky.. it just is...
