Seller returns it a few days later with some mark ups, we go back and forth this way a few times, and when everyone's happy and the LOI executed, the attorneys draft the contract and hash out the details before, during, and after DD.The distinction is that an offer/LOI, if accepted, usually (check your local jurisdiction) only binds the parties to begin or continue negotiating in good faith, nothing more.

Its just like building new construction we expect to make a profit but we need to be properly licensed bonded and insured.. so the biggest rub is the non license activity and a totally unregulated activity.. now many wholesalers have their cash lined up take title resell etc and that is were the states make the distinction..
