@Wayne Brooks a counter offer is a rejection of a prior offer or agreement. https://dictionary.law.com/Def...If you have a signed agreement and present them with an addendum/amendment, you are not in contract as you have officially rejected the original agreement. 

What I was given looks like someone’s personal copy and is missing the latest amendments.  

If it's just the late fee, that is a lesson to amend your lease to apply received payment from tenants, no matter how designated, to late fees, fines, damages, court cost etc...FIRST, before using it to fulfill the rent.So let's say rent is $1500 and late fee is $100.

.* Basically, if the governing body (city of county) states that the property can be rebuilt as it is, in the case of an "act of god," then it sounds like the appraiser should amend, clarify or correct their statement in the appraisal.

Theoretically, you can have anything set up in the operating agreement as long as all the owners agree to it.If the sole purpose of creating the other entity is to decrease the amount of signatures, with no other purpose, it might be easier to amend the agreement so only your signatures are required to do the tasks that you want to do.

There is no option on their filing website to do anything except file an amended articles of organization which allows to change the company name, effective date, or purpose.

All parties sign the amended escrow instructions or the amended contract or everyone is "out of contract".
