Hi Marcus,Unless you had a good asset protection attorney draw up your operating agreement, and can pay him/her for defending it, you might have a new business partner called ex-Mrs. and you might have a new dictator of the LLC called Judge X.I've seen some very "creative" "strong arm" techniques used by Judges (or Psudo-Judges of the Divorce courts) to force individuals to do things--despite it's impact on the LLC's other members finances.You might want to seek the council of an asset protection attorney regarding the wording of the LLC Operating Agreement, before the Lawsuit begins.Not saying that will prevent the LLC from being besieged, but at least gives you a line of defense (you can pay to defend if you have to).Will it happen, Maybe yes, maybe no.

@Gerhard Maree well unfortunately this is how these deals and people move on.. your going to just lick your wounds and call it a day.. too bad the owners are not stepping up.I suspect though there are others that have gotten council and are making demand letters.if you paid for rehab and it was not done seems like that would be a pretty easy claim to make and Morris from all accounts has made millions on this stuff .. seems to me he should be making some of this right for you folks just like he is for the guy that started this thread.. although we have not heard back from him if anything at all has happened..

At the same time, our first project was very challenging in many aspects (very political with the city council, wetlands, neighbors remonstrating, construction cutting across an existing neighborhood, extending water main under a state highway, etc) and I believe the only reason we were still successful at it was because we had the right team in place.

I would use that $1m to approach city council members as verification of how serious I am in pursuing development in their city, if they can simply "help to make it happen".

Here in Vancouver, there was a 10 million dollar short fall for the police.City council had proposed an additional tax on businesses which the Chamber was then able to negotiate and help the city find the money in different ways having a lesser effect on businesses.
