looks like votes are pretty unanimous with the given numbers, there are very few scenarios that this could go well. ask low and raise rents is always the first choice. an official walk through might help out with the numbers, checking things like plumbing electrical and foundation could help sway this deal in either direction, and yes if possible see if there is anything else that the seller might be interested in or why he is selling.

This agreement should set-out not just the responsibilities and duties of partners / shareowners during the "good times", but should also lay the ground work for how a partner/shareowner may leave (or be pushed) - who has the first option to buy our the interest, can it be sold to an outsider (and does that required majority or unanimous approval of the remaining partners/shareowners), etc.

Check into using unanimous consent, where all memebers must agree, but this can effect your tax status regardless of your elections.The Operating Agreement is the heart of the business and you should have a good attorney go over it as there are various ways to mess up your tax status with contradictions in the OA or have security issues with more than three members.
