The listing agent told me that the lowest the bank would go was 165K, and he isn’t willing to take my counter offer to the asset manager or bank, but isn’t he required to take any and all offers??

Each offer I wrote recently which was more than 10% off list price has been rejected hard with no counteroffer given...2.  

I have never made an offer with anything less than 5K EMD, and the last two REO purchases I have had requested 10% EMD in their counter offers. 

Would you go through with a deal if the sellers counter offer states that they will not provide a disclosure statement?

One day a bank may counter offer or because they realize you are the only one sumitting offers take your offer.

If the buyer's agent is working with another client, a counteroffer or request for more documents may not get relayed to the buyer immediately.  

My counter offer will be -10k.

Each time someone makes an offer or a counteroffer, it starts a "new" agreement. 

The bank didn't accept our highest bid and counter offered at 15K above the highest bid price.  

If you did not receive a counteroffer after your initial one, the seller is probably not motivated and is set on price.
