I concur with most of what Don posted.A couple of points: One key indicator of weather you are in SEC territory is if you are taking money from people who rely on you to generate a profit (passively) and weather they will have a say in the day-to-day operations (control).Even if you fall into an exemption or exception, and don't have to register, you will need to file a notification (free or nearly so) with state and federal securities agencies.
