How did you get comfortable that this is a passive investment (ie. triggering capital gains) vs business income (ie. ordinary income and self employment tax), given the profit participation.

The issue would be with liability coverage.Example, if there is a claim and it only names the property owner, and not the management company, the claim will not trigger coverage under the management company policy.
