Second, in terms of asset protection, LLCs are not invincible, but I think what many don’t understand is that they are not designed to completely shield your assets from liabilities, on the contrary they are designed to contain and isolate liabilities.

When times are tough, syndications probably fail at a higher rate than individually owned assets because they aren't as easily liquidated, LP's are less likely to keep pumping in the necessary capital to weather a storm, and the stress and liability GP's have to deal with during difficult times is tremendous.

If they call and then hit something incorrectly marked then there is some relief from that liability.
