Matt, I think we are saying the same thing, it's just that you add too many words attempting to describe little twists to it that are irrelevant to an opearating agreement.For example, your draw, nothing is said that you must take a draw, that is up to you.

Seattle has some goofy twists to doing business there but WA State is very Pro-Landlord, especially Snohomish County.
