If a major life event occurs, such as your company closing, forcing you to relocate, then you are not violating the closing documents by relocating to another area with ample job opportunities.

The mentioned issue is *a tax issue*.Distributing assets from Subchapter C to Subchapter K, or in your case Subchapter S to Subchapter K is what will cause the gain recognition event upon distributing of said assets from the corporation. 

I assume this share has a $0 cost basis.I am trying to figure out the tax implications of these events.  

I'm actually considering a refi on all my notes under my personal name, this way other big ticket items such as my personal residence, stocks, etc. that are held under my name along with my wife's can't be touched in the unfortunate event something happens rental property related and someone comes after just me.

For illustration purposes if a tenant or passerby trips and becomes  hurt because of a premises liability event, if you discriminate against a tenant or buyer, fail to pay your contractor for work that was performed or any of the many fact patterns that could lead to claim exposure presents itself do you really believe your identity is going to stop a plaintiffs attorney from filing a claim, lien etc?

In any event, it sounds like a good price, assuming that the compliance is in order and that nothing is being left on the table.
