The one piece that I see missing is the fact that by lending funds and entering into a contract with the expectation of profit (not interest) solely through the effort of the sponsor, he has created a security.

My guess is this will be the central method that is utilized as the other methods required by the new rule would require the investor to disclose tax returns/w-2s/k-1's....seems unlikely to me that they will "lift up their skirt" for a sponsor under that approach.
