You might have to do a quiet title suit to get the title to be insurable.

Will a Quiet Title suit clear this sort of thing on the chain of title?

You also might be able to get a family looking to get in to a better school district (if your area suits that).

BTW, the two hours of attorney time mentioned above was for a Memorandum of Contract filing, not for a specific performance law suit which will be much, much more.

They are very strict.There are alternative structures that would suit your needs better and eliminate the CA Franchise tax exposure.

I guess I misunderstood.Anyway, if there is ceiling damage to two suites and they say "any assessment at this point couldn't be final", AND that the building already had empty suites that they are now going to fill with "deserving tenants" (what??)

Just because they sent a letter from an attorney does not mean they are filing suit.  

Would you approach from a Gut and rebuild or is this better suited for a tear down? 

I agree with you guys, at this time I might just be better suited in purchasing a house in Mesa and renting out the 3 rooms.
