It needs to be repaid promptly or will be viewed as a distribution.  

My lease says the tenant must notify me promptly of any issues or they can end up being responsible for damage.

I work hard at building relationships with contractors over time so they will respond promptly when I need them.

My guess is that formal LOI shows to the owner that I am serious and somehow prompts them to reply.I plan to gradually increase my offers until someone bites.
