Also your interests could just grow apart and they want to sell and you want to hold.So it's important not just for the entity creation but cash flow, equity splits, exit provisions etc. need to be spelled out with your attorney drafted operating agreement before closing.Also if the goal is to take the proceeds and not pay taxes then you need to set up the partnership a certain way.

If so, be aware that your mortgage probably has a due on sale clause, which means the bank could call the note due if you transfer the property to an LLC.I'm not sure your situation is one that favors the creation of a LLC at this time.

I would like to know if other investors create entities, LPs or LLCs, for each acquisition that includes other equity investors.  Or is it better to go with Joint Ventures?
