If it was disregarded and taxed as a sole proprietor then you'd have to change that to add a member and You'd know better than me if that would create a deemed sale.Just a thought.

Quick google searches show this to be a debt collect entity, but I was hoping someone could shed a little more light on this and help explain what exactly FV-1 Inc is.Is that low purchase number helpful in how much they would be willing to accept....or should I disregard?

We did TIC (tenants in common) with single-member disregarded LLCs where we were able to close in our respective LLC's but since it flows down to our individual tax, the 1031 requirements were satisfied.

If you do I would suggest forming it in Wyoming (disregarded for tax purposes to avoid having to file a return) which will also give you privacy protection as well.

From a tax perspective, the LLC will be disregarded on your return until you bring a partner in, then it becomes a 1065.
