This is the problem I observe with most when in comes to entity formation and asset protection. 99% of the individuals who post questions in these forums are for some reason pushed to believe they should at least research entity structures that are completely unnecessary.

The rules aren’t often enforced, but I’d be more worried about getting caught up in a lawsuit with no errors and omissions insurance protection personally.

Private placements have no investor protections, audits, and public disclosures...they are the wild west of investing. 

That is the issue that first must be resolved, although I am not sure if you are going to be able to correct a bad location if that is the root issue but there are certainly tools at your disposal to protect against liens.

I think these regulations improve accountability, generate revenue, ensure fair competition, protect neighborhoods, address housing shortages, and promote responsible property use.

BTW do you think the builder's rep is going to protect you ?
