Likelihood is since the remaining 2/3rd of the building is family owned, it is not likely elder brother 1 would be able to sell in the open market (outsiders are not likely interested in being a minority shareholder of a family business, see numbers later).  

I have also had to work with some folks that were elderly, and one of their kids had power of attorney, and not only did that person weigh in on the sale, but all the siblings had to have their say on the deal.

There's no rush to alleviate school overcrowding, and many people you see out and about are middle-aged to elderly.
